Terms of service

These terms of service ("Terms") are between you ("user," "you," "your") and t3rn Limited ("t3rn," "we," "us," "our"). These Terms govern your use of the services provided by t3rn described below ("Services"). By accessing any of the Services provided by t3rn, you agree that you have read, understand, and accept all of the terms of service contained in these Terms.
We may make changes to these Terms from time to time. If we do this, we will post the revised Terms on the Website and will indicate at the top of this page the date the Terms were last revised. Your continued use of the Service or the Website after any changes constitutes your acceptance of the new Terms.
1. Introduction
1.1 Eligibility
To be eligible to use the Website, you must be at least eighteen (18) years of age or older. The Website and Services are strictly NOT offered to persons or entities who reside in, are citizens of, are incorporated in, or have a registered office in any Restricted Territory (as defined below). If you are a Restricted Person, do not attempt to access or use the Website. Use of a virtual private network (e.g., a VPN) or other means by Restricted Persons to access or use the Website or Services is prohibited.
Restricted Territory includes the United States of America, the People's Republic of China, Myanmar (Burma), Cote D'Ivoire (Ivory Coast), Cuba, Crimea and Sevastopol, Democratic Republic of Congo, Iran, Iraq, Libya, Mali, Nicaragua, Democratic People’s Republic of Korea (North Korea), Somalia, Sudan, Syria, Yemen, Zimbabwe, or any other state, country, or region subject to sanctions enforced by the United States, the United Kingdom, or the European Union.
1.2 Terms of Service
We reserve the right to disable access to the Website at any time in the event of any breach of these Terms, including if we, in our sole discretion, believe that you fail to satisfy the eligibility requirements set forth in these Terms. We also reserve the right to limit or restrict access to the Website by any person or entity, or within any geographic area or legal jurisdiction, at any time and at our sole discretion. We will not be liable for any losses or damages you may suffer as a result of or in connection with the Website being inaccessible to you at any time or for any reason.
1.3 Interface
The interface hosted on the Website provides a visual representation of the available Services and enables access to the t1rn protocol. To utilize the interface, you must link/connect your digital wallet (such as MetaMask). You are solely responsible for adhering to all laws and regulations applicable to your use or access to the Website and interface. Your use of the Website is prohibited if it violates or facilitates the violation of any applicable laws or regulations or contributes to any illegal activity.
1.4 Access
You agree and understand that you are not allowed to enter any restricted area of any computer or network of t3rn or perform any unauthorized functions.
2. The Service
2.1 t3rn Protocol
t3rn is a distributed application that runs on supported blockchain networks (including without limitation Arbitrum, Base, Optimism and Blast), using smart contracts that enable users to perform cross-chain transactions and facilitate interoperability of smart contracts on different blockchains.
2.2 Non-Custodial Nature of Smart Contracts
When you access certain features of the Services, the interface will allow you to access non-custodial smart contracts to perform various transactions. You confirm that all actions and functions performed via the t3rn smart contract are irrevocable. You remain in full control of your assets, which are not held or controlled by t3rn. t3rn does not collect or hold your keys or information. You are solely responsible for the safety of your digital assets and your use of the Services.
2.3 Not an Offering of Banking Business, Trust Business, Custodial Business, Escrow Business, Securities or Commodities
t3rn is a non-custodial provider of technical smart-contract services. The content of the Website and the Services does not constitute banking, custodial, or escrow business, nor does it offer or solicit investment in securities, partnership interests, or commodities.
2.4 No Advice
t3rn makes no representation or warranty regarding the advisability of participating in digital assets. t3rn is merely a technology service provider allowing you to manage your own digital assets and does not offer fiduciary services, advice, or act as your agent, trustee, or fiduciary.
2.5 Taxes
You are solely responsible for determining whether taxes apply to any transactions you perform through the Services and for reporting and remitting the correct amount of tax to the appropriate tax authorities.
3. Risk Factors
You acknowledge and agree that the Services are in the initial development stages, and there are a variety of unforeseeable risks. In the worst scenario, this could lead to the loss of all or part of your digital assets associated with the Services. By using the Services, you expressly acknowledge and assume the following risks:
3.1 Third-party Risk
The Services rely on third-party software and support, which may not be maintained, affecting the Services. Failure or security incidents in third-party protocols may result in loss of digital assets.
3.2 No Insurance
Digital assets are not legal tender, are not backed by the government, and are not subject to deposit insurance or protections under banking or securities laws.
3.3 New Technical Risk
The t3rn software is new and may have bugs or security vulnerabilities. It is under development and may undergo significant changes.
3.4 Risks of Blockchain Technology
Upgrades, hard forks, re-organizations, or changes in how transactions are confirmed on the blockchain network may have unintended, adverse effects on the smart contracts, including t3rn software and smart contracts.
3.5 Information Security Risk
Digital assets may be subject to expropriation and theft. Hackers or malicious groups may attempt to interfere with the Services, and software bugs or weaknesses may negatively affect the Services, resulting in loss of digital assets.
3.6 Regulatory Risks
The regulatory status of digital assets and distributed ledger technology is unclear in many jurisdictions. Regulatory actions could negatively impact t3rn.
3.7 Taxation Risk
The tax characterization of digital assets and the usage of the Services are uncertain. You must seek your own tax advice, which may result in adverse tax consequences.
3.8 Additional Conditions of Usage
Your usage of the Website and Services is subject to the following additional conditions:
- Unlawful Activity: Do not engage in any activity that violates any law or involves proceeds of any unlawful activity.
- Abusive Activity: Do not engage in any activity that poses a threat to t3rn or the Website, such as distributing a virus or unauthorized access.
- Inappropriate Behavior: Do not interfere with other users’ access or use of the Services.
- Communication: Do not use data collected from the Website for unsolicited advertising, promotions, or other purposes without consent.
- Fraud: Do not engage in any activity that operates to defraud t3rn or any other person.
- Gambling: Do not utilize the Services for any form of gambling.
4. Website Availability and Accuracy
4.1 Access and Availability
Access to the Services may become degraded or unavailable during times of significant volatility or volume. We do not guarantee that the Website or Services will be available without interruption.
4.2 Website Accuracy
The Website may not always be entirely accurate, complete, or current and may include technical inaccuracies or typographical errors. Information may be changed or updated without notice. Verify all information before relying on it.
5. Consent to Electronic Disclosures and Signatures
5.1 General
You consent to transact business with us online and electronically. By agreeing to these Terms, you agree to receive all documents and communications electronically via our Website.

You consent to be contacted by us for any purposes. Communications from t3rn will be provided electronically through the Website or via email.
5.3 Scope of Consent
Your consent to receive disclosures and transact business electronically applies to any transactions to which such disclosures relate.
5.4 Withdrawing Consent
You may withdraw your consent to receive agreements or disclosures electronically by contacting us at team@t3rn.io.
6. Intellectual Property
6.1 Limited License
All content on the Website is the proprietary property of t3rn. You are granted a limited license to access and use the Website and to download or print a copy of any portion of the Content solely for your use in connection with your use of the Website or Service. Unauthorized use is prohibited and will terminate the license.
6.2 Trademarks
t3rn and other t3rn graphics, logos, and service names are registered trademarks. These trademarks may not be used without prior written permission.
7. Data Protection and Security
7.1 Loss or Compromise
Loss or compromise of your electronic device or security details may result in unauthorized access to your digital assets. t3rn is not liable for such loss or theft.
7.2 Shared Access
Do not allow remote access or share your computer screen when accessing the t3rn protocol. t3rn will never ask for your private keys or passwords.
7.3 Personal Data
We may process personal data in relation to you. You must comply with all applicable data protection and data privacy laws when providing personal data.
7.4 Safety and Security
t3rn is not liable for any damage caused by viruses or other malicious code. Use reputable virus prevention software.
8. User Feedback, Queries, Complaints, Disputes

8.2 Dispute Resolution
All disputes arising from or related to these Terms shall be resolved through binding arbitration. Disputes will be resolved individually and not as a class action.

t3rn provides the Website and all content "as is" and "as available," without any warranties. We do not guarantee the accuracy or completeness of the Website.
8.4 Availability
The Website and Services may be temporarily unavailable. t3rn is not responsible for any errors, omissions, interruptions, or delays.
8.6 Governing Law; Venue and Jurisdiction
These Terms are governed by the laws of BVI. Disputes will be resolved by arbitration in BVI.
9. General Provisions
9.1 Amendments
We may amend these Terms by posting the revised Terms on the Website. Your continued use of the Services constitutes acceptance of the revised Terms.
9.2 Force Majeure
t3rn is not liable for delays or interruptions due to causes beyond our control.
9.3 Links to Other Websites
The Website may contain links to third-party websites. t3rn is not responsible for the content or services provided by these websites.
9.4 Assignment
These Terms may not be transferred by you but may be assigned by us without restriction.
9.5 No-Waiver
Failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
9.6 Relationship of the Parties
Nothing in these Terms creates a partnership, employment, joint venture, or formal business entity of any kind between you and t3rn.

These Terms and our Privacy Policy constitute the entire agreement between you and us.
9.9 Severability

Certain provisions of these Terms will survive termination of your use or access to the Website.
9.11 English Language
Any translation of these Terms is provided for your convenience. The English version of these Terms prevails in the event of conflict or ambiguity.
